Terms and Conditions of Sale - PeproTech, Inc.

All PeproTech products are purchased subject to the following terms and conditions of sale. These terms cancel and supersede all other terms, oral representations, or documents which relate to the purchase of products from PeproTech:

  1. Any terms stated in customer purchase orders or supporting documents other than item, quantity, quoted price, desired shipping date, and recitals of obligations to comply with applicable laws are specifically rejected. 
  2. Product Use Limitations: PeproTech products are not for human use. Purchasers of PeproTech products agree to comply with the provisions of applicable federal, state and local statutes, rules, regulations, ordinances and orders when using PeproTech products.
  3. Shipping: PeproTech's products have been formulated to allow shipment at ambient temperature. If your purchase order is received before 8:00 pm (EST), all available items are shipped by Federal Express for next day delivery. 
  4. Resale: In the absence of an expressed written agreement to the contrary, all products are sold by PeproTech Inc. for the exclusive use of the purchaser and are not to be resold. 
  5. Prices & Payment Terms: Prices are subject to change without notice. Payment terms are net thirty (30) days from receipt of invoice. 1.5% interest per month may be charged on past due accounts. 
  6. Warranty: PeproTech warrants to the original purchaser that products sold substantially conform to specifications provided with shipped products and are free from material defects. This warranty does not extend to any product which has been altered in any way by personnel other than PeproTech’s employees or to any product which has been handled in a manner contrary to instructions included in product documentation. PeproTech is not responsible for patent infringement or other violations which may occur with the use of these products. PeproTech makes no warranty of the product’s suitability for any purchaser’s particular use; suitability for use must be determined by the purchaser or user of the products. All other warranties, express or implied are disclaimed to the fullest extent allowed by law. Purchaser’s sole remedy under the above warranty shall be replacement with a conforming product, a credit toward future purchases of PeproTech products or, at PeproTech’s sole discretion, a refund of the price of the product. If there is a question or concern please contact our Technical Support Department immediately so we may assist you. 
  7. Information Changes: This website contains current Information on PeproTech products. PeproTech reserves the right to discontinue sales of any product or to change product descriptions and/or formulations at any time without notice to purchasers. 
  8. PeproTech reserves the right to withhold, cancel, or suspend shipment of any products in the case of labor troubles, accidents, civil commotion, war, acts of God, government regulations or restrictions, or any other causes beyond its reasonable control. 
  9. PeproTech reserves the right to assign, without permission, under any circumstances, in whole or in part, to any person, partnership, firm, corporation, or government agency or entity, any rights which may inure to it as a result of its sale of products. 
  10. Risk of loss on all products shipped to purchasers by PeproTech shall pass upon receipt of those products at purchaser’s place of business. 
  11. All sales shall be governed by the laws of the State of New Jersey, USA. 
  12. In the event any one or more of these terms shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall be unimpaired and remain in force.

  3. Commercial Information, such as your purchase history or products you have expressed interest in.
  4. Internet or other Electronic Network Activity Information, such as the data we receive when you interact with our website

When you access the online services, we may collect precise geolocation information if you permit the online services to access such information so that we may provide you with content based on your location and your proximity to our offices.
  6. Audio and Visual Information, such as your voice and likeness as captured in photographs, video, or audio recordings if you attend our events, visit our offices, or leave us a voicemail.
  7. Professional or employment-related information, such as your employer or title;
  8. Education information, such as the university you attended and degree; and

Information You Provide to Us:

We collect personal information that you provide to us. For example, when you become a registered user, we collect your name, mailing address, email address, and password.  When you order a product, we may collect, in addition to your required registration information, a credit card number along with the corresponding expiration date and billing address.  When you use an order form to request reference or promotional publications, we collect your name, mailing address, email address, and phone number.  When you use the "Technical Investigation" form, we collect your name, mailing address, telephone number, fax number, and email address.  When you contact us by using the Send a Message form, we collect your name and email address.

You generally can use our online services without providing us with personal information, though we may still collect personal information automatically as described in the next section. 

Information We May Collect Automatically or Generate

We and our service providers may automatically collect and generate certain technical information from and about you when you interact with us or our Online services.  This information may include your IP address, your general geographic location, your browser type, your operating system, the pages you view on the Services, the pages you view immediately before and after you access the Services, and the search terms you enter on the Services. This information allows us to recognize you and personalize your experience if you return to the Services, and to improve the Services. We and our service providers may collect this information using “cookies,” which are small text files that the Services save on your computer using your web browser and access when you return.  We do not currently respond to “Do Not Track” signals.

We may also receive information about you from social media platforms, such as when you interact with us on those platforms or access our social media content. We may collect information about you from publicly available sources, such as public social media profiles, publications, and other websites or materials available through search engines.

  1. To process orders, ship purchases, bill purchases, and contact customers (when necessary) to process such orders.

  5. To expand and maintain our list of contacts.

PeproTech does not sell, rent, lease, or otherwise provide the information we collect to unaffiliated third parties. We also do not share personal information that reasonably identifies you with unaffiliated entities for their independent use except when we have your permission; or are doing so at your direction, as needed to comply with our legal obligations, as permitted by applicable law, or as otherwise described in this Notice.

We may disclose the categories of information we collect to the following categories of recipients in furtherance of the purposes described above:

  1. Our affiliates: We may share information with our various PeproTech offices and Partners located around the world for any of the purposes listed above.
  2. Our service providers: We may share information with third parties that perform services on our behalf, such as web-hosting companies, mailing vendors, analytics providers, event hosting services, and information technology providers.
  3. Law enforcement, government authorities, or third parties with legal rights: We may share information as may be permitted or required by the laws of any jurisdiction that may apply to us, as provided for under contract, or as we deem reasonably necessary. In these circumstances, we strive to take reasonable efforts to notify you before we disclose information that may reasonably identify you or your organization, unless prior notice is prohibited by applicable law or is not possible or reasonable in the circumstances.

Please note that any personal information that you post to a profile, blog, comment section, or forum on our online services or social media pages may be available to other users of those forums or, in some cases, made publicly available.

 

4. Protection and Storage of the Information We Collect

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect the information we collect and comply with applicable legal requirements. This implementation includes the use of industry standard encryption to protect your payment and personal information for commerce transactions.  Our practices also include, when required or appropriate and feasible, obtaining written assurances from our third parties that may access your personal information that they will protect your information with safeguards designed to provide a level of protection equivalent to those implemented by PeproTech.

Notwithstanding the safeguards that we implement, no information system can be perfectly secure and we cannot guarantee the absolute security of your information.  Further, we are not responsible for safeguarding the information you transmit to us over networks that we do not control (e.g., wireless networks, the internet).

Marketing Communications: If you no longer wish to receive marketing communications from us, you can let us know by contacting us using the information available in the How to Contact Us section below. Our digital marketing communications may provide unsubscribe or opt-out mechanisms that allow you to modify your communications preferences. Please note that if you opt-out of marketing communications, we may still contact you with non-promotional communications, such as those about ongoing business relations or administrative messages.

Privacy Rights: PeproTech conducts business in jurisdictions that impose varying obligations and that grant individuals differing levels of protection, particularly with respect to personal information. Depending on applicable law, you may have certain rights with respect to your personal information, including, for example, the rights to:

  2.       Update or correct your personal information if you believe it is incomplete or inaccurate.
